- Agreement and authority
These Terms form a binding agreement between InfoSafe Inc. (“InfoSafe,” “we”) and the organization identified during registration (“Business,” “you”). By ticking the acceptance box or using the platform, you confirm that you are authorized to bind the Business and that the registration information is accurate. If you do not agree, do not create or use the account.
- Business accounts and permitted use
InfoSafe provides a cloud-based platform supporting consent-based data requests, controlled sharing, audit records, analytics and related services. You may use it only for legitimate business purposes, under your subscribed plan and applicable documentation. You are responsible for authorized users, credentials, configurations and all activity under the account. Do not probe security, disrupt the service, introduce malicious code, scrape without permission, reverse engineer except where law permits, or use InfoSafe for unlawful, deceptive, discriminatory or harmful activity.
- Data responsibility and consent
Before requesting, accessing, using, exporting or sharing any personal information, you must identify a lawful and specific purpose; provide clear notice; obtain and record valid consent where required; limit access and use to that purpose; honour withdrawals and individual rights; and avoid resale, re-identification or secondary use unless expressly authorized by the individual and law. You remain responsible for your business decisions, campaigns, datasets and compliance with PIPEDA and any applicable provincial, sectoral or foreign laws. InfoSafe may act as a service provider for data processed on your instructions; the parties may enter a separate data-processing agreement where required.
- Security and incidents
Use reasonable administrative, technical and physical safeguards appropriate to the sensitivity of the data, including least-privilege access, secure devices and prompt removal of former users. Notify InfoSafe without undue delay of suspected unauthorized access, disclosure, credential compromise or other incident involving the platform. Cooperate with containment, investigation, notice and reporting obligations. Do not place raw personal information, secret keys or confidential content directly on a public or immutable blockchain.
- Ownership, feedback and third parties
InfoSafe and its licensors retain all rights in the platform, software, branding and documentation. You retain rights in content you lawfully submit and grant InfoSafe a limited licence to host, process, transmit and secure it only to operate, support and improve the service as described in the Privacy Policy and applicable agreement. Feedback may be used without restriction. Third-party integrations are governed by their own terms and privacy practices.
- Fees, suspension and termination
Fees, taxes, billing, renewal and cancellation follow the selected plan or order form. We may suspend access where reasonably necessary for security, legal compliance, non-payment or material breach, and will give notice where practicable. On termination, access ends; export and deletion are subject to the plan, legal retention duties, backups and technical limits. Clauses intended by their nature to survive will survive.
- Disclaimers and liability
To the extent permitted by law, the platform is provided “as is” and “as available.” InfoSafe does not guarantee uninterrupted operation, regulatory compliance by your Business, commercial results, data availability or that blockchain records can be altered. Neither party is liable for indirect, special, incidental, consequential or punitive damages. InfoSafe’s aggregate liability is limited to fees paid by the Business for the service in the 12 months before the event, except where a limitation is prohibited by law or liability results from fraud, wilful misconduct or obligations that cannot lawfully be limited.
- Indemnity, law, changes
You will defend and indemnify InfoSafe against third-party claims arising from your unlawful data practices, content, instructions or material breach. These Terms are governed by the laws of Ontario and applicable federal laws of Canada; courts in Ontario have exclusive jurisdiction, unless mandatory law requires otherwise. We may update these Terms prospectively and will provide notice of material changes. Continued use after the effective date constitutes acceptance.
